Terms of Service

Last updated October 26, 2026

These terms are an agreement between you and Benas Vaitelis for the use of Cadence. By creating an account you accept them, so please read them carefully.

1. The service

Cadence is software for service businesses to schedule sessions, manage clients and staff, send reminders, create invoices and accept payments. It is offered to businesses and professionals, not to consumers. You must be at least 18 and able to enter a contract on behalf of your business.

2. Your account

  • Keep your login details secure. You are responsible for all activity on your account.
  • Give accurate information, and tell us promptly at hello@cadenceflow.net if you suspect unauthorized access.
  • You are responsible for the people you invite or add, including tutors and staff.

3. Beta, plans and fees

  • Cadence is currently in beta and free to use. Features may change, and the service may have bugs or interruptions while we improve it. Please keep your own copies of important records (Settings → Your data → Export).
  • We may introduce paid plans after the beta. The plans we expect are shown on our pricing page. We will email you at least 30 days before any paid plan starts, and we will never charge you unless you choose a paid plan. If you don't, you can export your data and close your account.
  • Once paid plans exist, fees are billed in advance and are non-refundable except where the law requires otherwise. Prices exclude applicable taxes. You can cancel at any time, effective at the end of the billing period, and price changes come with at least 30 days' notice.

4. Payments between you and your clients

  • Card payments from your clients are processed by Stripe and paid into your own Stripe account. Your use of Stripe is governed by Stripe's terms, and Stripe's fees apply.
  • Benas Vaitelis is not a party to transactions between you and your clients. We do not hold funds, and we are not responsible for refunds, chargebacks, disputes or the services you provide.
  • You are responsible for your invoices: pricing, taxes (including VAT), and making sure invoices contain any details your local law requires (for example tax IDs, addresses and sequential numbering).

5. Your data

  • You own the data you put into Cadence. You give us permission to store and process it only to provide and improve the service.
  • For personal data about your clients, students, parents and staff, you are the controller and we are your processor. We process it only on your instructions (as set out by your use of the service), keep it confidential and secure, use only the sub-processors listed in our Privacy Policy, help you respond to data subject requests, notify you without undue delay of any personal data breach, and delete it when you delete your account.
  • You confirm you have a lawful basis to process that data, including any consent needed from parents or guardians of minors, and that you have informed the people concerned.
  • You can export your data or delete your account at any time from Settings.

6. Acceptable use

You agree not to:

  • break any law, or use the service to send spam or unlawful content;
  • upload data you have no right to process;
  • try to access other businesses' data, probe or disrupt our systems, or get around security or usage limits;
  • resell or copy the service without our written permission.

We may suspend accounts that break these rules or put other users at risk.

7. Availability and changes

We work hard to keep Cadence available and secure, but we do not guarantee uninterrupted or error-free operation. We may improve or change features over time. If we remove something material that you pay for, we will give you reasonable notice.

8. Disclaimer

The service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties not stated in these terms, including fitness for a particular purpose. Cadence is a tool, not professional tax, legal or accounting advice.

9. Limitation of liability

To the extent the law allows, neither party is liable for indirect or consequential losses, or for lost profits, revenue or data. Our total liability arising from these terms in any 12-month period is limited to the fees you paid us in that period. Nothing in these terms limits liability that cannot be limited by law, such as for fraud or gross negligence.

10. Indemnity

You will defend and compensate us against claims from third parties (including your clients) arising from your services, your invoices and taxes, the data you upload, or your breach of these terms.

11. Ending the agreement

You can stop using Cadence and delete your account at any time. We may end or suspend your access for serious or repeated breaches of these terms, or if required by law. Export your data before deleting your account; deletion is permanent.

12. Changes to these terms

We may update these terms. For material changes, we will notify you by email or in the app at least 30 days before they take effect. Continuing to use the service after that means you accept the new terms.

13. Governing law and contact

These terms are governed by the laws of Lithuania, and its courts have jurisdiction, unless mandatory law says otherwise. Questions? Email hello@cadenceflow.net or write to Benas Vaitelis, Klaipėda, Lithuania.
